| Art. 1 - SALONE DELLA MUSICA TORINO
The "Salone della Musica Torino" is not only a market-fair but also a cultural event that offers to the public and the operators a broad overview of the music world (hereinafter "Event"). The Event is promoted by Prosa S.c.r.l. (hereinafter "Prosa"), from the 16th to 21st of October 1997 and will be held in Lingotto Fiere, Turin, Via Nizza 294, managed by Expo 2000 S.p.A. |
| Art.2 - ADMITTANCE
Italian and foreign publishing companies manufacturing music records and/or music instruments, publishing companies and organizations, associations, foundations, institutes and other entities promoting, supporting or manufacturing music products and/ or services and/or cultural services or products or activities connected with such products or services may be admitted to participate in the Event. |
| Art. 3 - APPLICATION FOR ADMISSION AND PAYMENT
The Exhibitor shall send the Application Form duly signed in the two above sections, to Prosa c/o Expo 2000 S.p.A., Via Nizza 294, 10126 Turin, Italy, within July 31, 1997. Applications lacking such signatures are void and do not give any right to the Exhibitor nor generate any obligation for Prosa. The Exhibitor shall send the Confirmation Deposit together with the Application Form. Should any Guest Exhibitors be present in the Exhibition Area, the Exhibitor must include an enrolment fee for each of them in the Confirmation Deposit. The balance shall be paid upon receipt of the invoice no later than the day before the Event starts. Only with the payment of the balance the Exhibitor has the right to occupy the Exhibition Area. This right cannot be transferred. |
| Art. 4 - ADMISSION
Prosa can freely decide whether to accept or not the Exhibitor and can assign the Exhibition Area at its sole discretion. Should Prosa not admit the Exhibitor, it will notify it but no specification of the reasons for the exclusion will be given and the amount paid will be returned. The Exhibitor cannot claim anything from Prosa for any reason whatsoever. Prosa has the faculty to modify the characteristics of the participation, the location and the size of the Exhibition Area and the parking allocated. Such modifications do not give the Exhibitor the right to claim any damages but only the right to withdraw from the Event. |
| Art. 5 - WITHDRAWAL
Exhibitor shall give notice of its intention to withdraw from the Event, for any reasons, by means of registered letter with return receipt or by means of telegram, to be addressed to Prosa, Via Susa, n. 35, 10138 Torino, Italy, at least 60 days before the beginning of the Event. Prosa will not reimburse the enrolment fee of the Exhibitor and of the Guest Publishers. Should the notice reach the above address after the sixtieth day preceding the opening of the Event Prosa shall not reimburse the whole Confirmation Deposit. Should the notice reach the above address after the issuance of the invoice, the Exhibitor shall pay Prosa the full Price and the penalty of section 21. |
| Art. 6 - PASSES
Prosa, through Expo 2000 S.p.A., shall give the Exhibitor a number of free entrance passes in relation to the size of the Exhibition Area. All passes shall bear the name of the beneficiary and the stamp of the Exhibitor. Expo 2000 S.p.A. shall also issue one extra pass for each Guest Exhibitor, up to a maximum of ten extra passes. |
| Art. 7 - EQUIPMENT
The Exhibitor can start to equip the Exhibition Area from 8.00 a.m. of October 10, 1997 and shall end before 11.00 p.m. of the day preceding the opening of the Event, except for electrical and water systems apparatus that shall be installed before 12.00 a.m. of October 15, 1997 for the control of the Control Commission. Should the Exhibitor not terminate such operations before such term, Prosa may terminate the agreement pursuant to section 1456 of Italian civil code. In this event, the Exhibitor shall pay the full Price and the penalty of section 21 and Prosa may freely use the Exhibition Area. Unless differently instructed, the Exhibitor shall equip the Exhibition Area from 8.00 a.m. to 8.00 p.m. from the 10 to the 14 of October 1997 and from 8.00 a.m. to 11.00 p.m. on the 15 of October 1997. Any delay to the above schedule shall be requested in writing to Prosa c/o Expo 2000 S.p.A. specifying the names of the persons that shall be admitted to the premises, at least 12 hours before; the Exhibitor will have to pay lit. 400.000 for each hour of delay. The Exhibitor shall not equip the Exhibition Area with any furniture or objects that may deprive of light, give prejudice or damage other exhibitors. Prosa has the right to eliminate or modify, at the Exhibitors’ expenses, all equipment that may damage the general appearance of the Event or may cause difficulties to other exhibitors or to the public. |
| Art. 8 - DISASSEMBLY
The Exhibitor may begin to disassemble the Exhibition Area on October 22, 1997 and shall end before 12.00 a.m. of October 25, 1997. Unless differently instructed, Exhibitor may disassemble in the above-mentioned days from 8.00 a.m. until 8.00 p.m. except on October 25, 1997. Before such date the Exhibitor is not allowed to disassemble the Exhibition Area or to remove materials. Before removing any material the Exhibitor shall get the specific "permit of leaving" from Expo 2000 S.p.A.. Such permit will be issued only after full payment of the amount due. The Exhibitor does hereby grant Prosa and Expo 2000 S.p.A. the right to withhold any material displayed until the payment of the balance. All materials and instalment including scotch tape and tapestries shall be removed from the Exhibition Area. The Exhibition Area shall be left in the same conditions it was given by Prosa. All waste material must be placed in the special metal containers provided by Expo 2000 S.p.A. for Exhibitors’ use in the open area beside the exhibition pavilions. The Exhibitor does hereby grant Prosa and Expo 2000 S.p.A. the right to remove all things and materials left in the Exhibition Area after the above date at Exhibitor’s risk and expenses. Such things and materials will be taken by Prosa or Expo 2000 S.p.A. and transferred in a warehouse at Exhibitor’s risk and expenses. Exhibitor shall pay Prosa a penalty of lit. 100.000 for each square meter occupied every day of delay, plus damages. In the event of non-fulfilment and removal of goods, Prosa or Expo 2000 S.p.A. reserve the right to request that such goods be impounded. |
| Art. 9 - SURVEILLANCE AND CLEANING
During equipment, opening to the public and disassembly the Exhibitor shall take care of the surveillance of the Exhibition Area. The Exhibitor shall control the Exhibition Area from one hour before the opening of the Event to the public until the evening closing. Prosa reserves the right to apply a penalty if the stand were found inattended by qualified personnel or if disassembly operations were to begin in advance of the deadline. Prosa and Expo 2000 S.p.A. cannot be held responsible for articles and goods left unguarded inside exhibitors stand during event closing hours. For what concerning stand security during closing hours and night-time, the Exhibitor may use personnel specially selected for the purpose after making a specific information to Expo 2000 S.p.A. specifying the particulars of the persons concerned, and receiving explicit written authorisation. During the days when the event is open to the public, the cleaning of the stand assigned must be carried out, by the Exhibitor, in the hour preceding the opening of the event. After this time, no refuse may be deposited outside the stand. At the Exhibitor’s request, made on the appropriate form, the service supplied by the exclusive cleaning company at controlled prices will be made available. No exceptions will be made to the abovementioned times. |
| Art. 10 - INSURANCE
a) Every single Exhibitor, with regard to the goods and furnishings bought into the Lingotto Fiere and Exhibition Areas takes out, by the payment of the enrolment fee, with the insurance company selected by Prosa a first-loss fire and incidental risk insurance for an amount of Lit. 50,000,000 as well as a public liability policy covering any damage caused to third parties within the Lingotto Fiere and Exhibition Areas with a sole limit of liability to the extent of Lit. 100,000,000.

| Art. 11 - CATALOGUE OF THE EVENT
Prosa has the exclusive right to publish and sell the catalogue of the Event. The Exhibitor shall provide all necessary information for the publication of the catalogue, by filling, under its personal responsibility, the special form to be sent before June 30, 1997 to Prosa. The catalogue can be printed directly by Prosa or by third parties. Prosa and/or printers and/or third parties will not be held responsible for any mistakes and/or omissions of the catalogue, except for wilful misconduct or gross negligence. |
| Art. 12 - REPRODUCTION RIGHTS
The Exhibitor shall not copy, measure, design, take pictures or reproduce any objects exhibited by other exhibitors without their express authorization. The Exhibitor cannot object to any graphic, photographic or cinematographic reproduction of the exhibitions areas and of their contents, nor to the sale of such reproductions, if ordered by Prosa. |
| Art. 13 - ADVERTISING
Advertising inside Lingotto Fiere, in any form, is reserved solely to Prosa or to the persons empowered by same. All forms of advertising using voice or loudspeakers or other visual and sound equipment as well as distribution of catalogues, price lists and other advertisement material outside the Exhibition Area is strictly forbidden. It is also forbidden to engage in any activity outside the Exhibition Area that may create troubles or may damage Prosa’s corporate image or the Event, as interviews, requests of subscriptions, etc. Should the Exhibitor violate the above, the Organizers may terminate the agreement pursuant to art. 1456 of the Italian civil code and the Exhibitor shall pay the penalty of section 21. |
| Art. 14 - PRODUCTS EXHIBITION
Only Exhibitor’s and Guest Publishers’ products and publications can be exhibited in the Exhibition Area. Should the Exhibitor violate the above, Prosa may terminate the agreement pursuant to art. 1456 of the Italian civil code and the Exhibitor shall pay Prosa the full Price and the penalty of section 21. |
| Art. 15 - OPENING TO PUBLIC AND ACCESS TO EXHIBITORS
The Event will be open to the public from October 16 to October 27, 1997 from 10.30 a.m. to 12.00 p.m. The Exhibitor is admitted to the Exhibition Area one hour before the opening to the public. Prosa has the right to modify the date and the opening time-schedule. No modifications shall give right to the Exhibitor to claim any reimbursements or damages. |
| Art. 16 - CANCELLATION
Should the Event, for whatever reasons be cancelled, Prosa shall immediately inform the Exhibitor and return the amount paid. The Exhibitor is not entitled to request the payment of any damages or reimbursement for any reason whatsoever. Should the Event be closed or suspended before its natural termination for reasons beyond Prosa’s control, the Exhibitor shall not be entitled to claim any reimbursement or damages. |
| Art. 17 - SOUND LEVEL
The maximum sound level admitted in Lingotto Fiere during the Event is 85dB (A). Prosa and Expo 2000 S.p.A. shall have the right to calculate such level and if the level is not respected, the Exhibitor shall immediately reduce the level. Should the Exhibitor not reduce the level, Prosa has the right to immediately stop electrical supply and/or, at its sole discretion, to terminate the agreement with the Exhibitor pursuant to art. 1456 of the Italian civil code. In such event the Exhibitor shall pay the full price and penalty of section 21. |
| Art. 18 - OTHER PROVISIONS
Prosa has the right to issue further regulations and provisions, with immediate mandatory effect, for the correct continuation of the Event by giving the Exhibitor prior written notice. The Exhibitor does hereby accept to comply with such further regulations and provisions. |
| Art. 19 - TECHNICAL PROVISIONS
The Exhibitor undertakes to take notice and comply with the Technical Provisions concerning equipment and fire regulations. Should the Exhibitor not already be in possession of such regulation, it shall request them to Expo 2000 S.p.A. as soon as possible. |
| Art. 20 - PROVISIONS AND REGULATIONS
The Exhibitor shall comply with all law provisions of the law and applicable regulations, among which for example, provisions regulating copyright, S.l.A.E., public security, fire accidents, health and accidents on working places, industrial safety, in particular with DL 626/94 and its later changes and integration. Any violation of any laws and regulations shall entitle Prosa to terminate the agreement with the Exhibitor pursuant to art. 1456 of the Italian civil code. In such event the Exhibitor shall pay the full price and penalty of section 21. |
| Art. 21 - PENALTY
Should the Exhibitor infringe any of the obligations set forth in art. 5, 7, 13, 14, 17, 20, 22, 23 and 24, it shall pay to Prosa the amount of Lit. 3,000,000 as penalty, for the damages caused. |
| Art. 22 - INSTALMENT COSTS
The full price does not include, among other elements, the installation of motive force, lighting, water and compressed air systems apparatus that shall be requested to Prosa c/o Expo 2000 S.p.A. by filing the appropriate form. Expo 2000 S.p.A., at Exhibitor’s expenses, will only supply the basic plant necessary for the connections to the service suppliers. For the supply of electricity, water, telephone and other services, Expo 2000 S.p.A. and Prosa shall only provide the guarantees given by the supply companies. |
| Art. 23 - ABANDON
Should the Exhibitor abandon its Exhibition Area for any reason, Prosa shall have right to take away any material left by the Exhibitor within or without such area. Exhibitor grants to Prosa the right to retain such materials. |
| Art. 24 - NON EQUIPPED EXHIBITION AREA
The Exhibitor shall send to Prosa c/o Studio Ferrero (Corso Re Umberto, n. 88, Torino, tel. 39 11 5683350, fax 39 11 505487) the project of the non-equipped exhibition area, if any, inclusive of the electrical apparatus, before starting the equipment. Electrical systems apparatus can only be provided by companies certified under law 46/90. The Exhibitor that does not intend to use the services of the official electrician shall send to Prosa c/o Expo 2000 S.p.A. within 10 days before the starting of the equipment copy of the certification of the electrician that will supply its services. Should the power supply planned for the equipment be over 15Kw, the Exhibitor shall file with Prosa before the above-mentioned date copy of the project, signed by the professional. |
| Art. 25 - ACCESS TO LINGOTTO FIERE
The management and control of the operations of receiving goods at Lingotto Fiere, of carriage, portering and delivery to the pavilions, and vice versa, are entrusted exclusively to the Official Carrier. At the request of those concerned, the Official Carrier may also collect the goods at the point of origin and deal with all legal procedures concerning transport. In order to avoid the accumulation of toxic gas inside Lingotto Fiere, it is forbidden to enter the premises with internal combustion engine vehicles or machines if not fitted with an appropriate pollution reduction system (catalytic exhaust, retrofit, etc.). The use within Lingotto Fiere of mechanical vehicles to unload goods is the exclusive competence of the Official Carrier, that will hire such vehicles to the Exhibitors at controlled prices. Exhibitors may bring equipment and goods in the premises only by hand or on non-motor driven vehicles. Prosa and Expo 2000 S.p.A. hold no liability for operations carried out by the Official Carrier or by Exhibitor on its behalf. |
| Art. 26 - RESPONSIBILITY FOR GUEST EXHIBITORS
The Exhibitor shall inform Guest Exhibitors of the Regulation and shall control the compliance with it. The Exhibitor is personally liable for any infringements or unfulfilments of the Regulation by Guest Exhibitors. |
| Art. 27 - PARTIAL INVALIDITY
The invalidity of any article of the Regulation or any part of such articles will not determine the invalidity of the remaining articles or the remaining parts of the articles. |
| Art. 28 - JURIDICTION
The Court of Turin has exclusive competence for the resolution of any controversies related to the participation of the Exhibitor to the Event. |
